Critical Supplier Threatening to Stop Shipments?

When a critical supplier threatens to suspend deliveries, immediate action may be required. We assess contractual supply obligations, termination and suspension rights, payment issues, available remedies, and the customer’s practical leverage.

Supplier Insolvency

Supplier insolvency does not necessarily mean that supply must stop. Customers may have several options to maintain production while a restructuring, sale, or orderly transition is pursued.

We assist with evaluating existing contracts, communicating and negotiating with the supplier and relevant insolvency representatives, securing continued deliveries, protecting customer property, and developing an appropriate exit or resourcing strategy.

Securing Continuity of Supply

Supply continuity arrangements often need to address much more than the price of parts. Depending on the circumstances, they may cover:

  • production and delivery commitments;
  • payment terms and financial support;
  • raw materials and work-in-progress;
  • tooling, equipment, and customer-owned property;
  • access to facilities and production assets;
  • intellectual property and technical information;
  • sub-supplier arrangements;
  • inventory build-up and safety stock;
  • transition assistance; and
  • alternative sourcing and resourcing.

The goal is to create a workable bridge between the immediate supply crisis and a sustainable long-term solution.

Tooling at a Distressed or Insolvent Supplier

Tooling can become one of the most critical issues in a supplier insolvency. Physical possession of a tool does not necessarily determine ownership.

We help customers analyze tooling agreements, purchase orders, payment records, title provisions, identification and segregation requirements, access rights, liens and competing claims, and the customer’s ability to recover or relocate tooling.

Tooling ownership and access should be addressed before production stops—not after.

Continuation Agreements

A well-structured continuation agreement should provide more than a promise to continue shipping parts. It should establish a practical framework for maintaining production while protecting the customer against additional exposure.

Depending on the situation, the agreement may address guaranteed production and delivery, pricing, payment security, use of financial support, tooling access, inventory, raw-material purchases, sub-supplier payments, information rights, transition obligations, and termination or exit mechanisms.

Where cross-border operations are involved, the agreement should also take account of the relevant insolvency regimes and the location of key assets.

When Should Resourcing Begin?

Waiting until shipments actually stop can significantly reduce the customer’s options.

Alternative sourcing should be evaluated as soon as credible indicators of supplier distress emerge. Lead times for tooling transfers, validation, PPAP, regulatory approvals, capacity allocation, logistics, and new supplier qualification can make early preparation critical.

A parallel strategy may therefore be appropriate: stabilize the incumbent supplier while preparing an alternative source.
